These General Terms and Conditions (hereinafter "Terms") govern the use of the website www.restaurants-montenegro.com and the business relationship between the platform provider and its commercial partners (restaurants, hotels, bars, etc.).

The platform provides a digital directory for hospitality businesses in Montenegro. Commercial partners can book listings, website creation services, and print guide entries according to our current service packages and price lists. All offers on this website are directed exclusively at entrepreneurs and businesses (B2B), not at consumers.
A contract is concluded when a partner accepts a service offer (e.g., via order form or email). The partner is solely responsible for the accuracy, legality, and copyright compliance of all materials provided to us (texts, images, logos). The partner grants the provider a non-exclusive license to use these materials on the platform and in associated print media.
Invoices are payable within 14 days without deduction, unless otherwise agreed. In case of default, statutory default interest under Croatian commercial law applies. All prices are net prices plus applicable VAT (if the provider is subject to VAT).
The provider is liable for intent and gross negligence. For slight negligence, the provider is only liable in case of a breach of essential contractual obligations, limited to foreseeable damages typical for the contract. The provider does not guarantee uninterrupted availability of the website.
These Terms and all contractual relationships are governed by the laws of the Republic of Croatia, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from this contract is the registered seat of the provider in Croatia.

Die Plattform bietet ein digitales Verzeichnis für Gastronomiebetriebe in Montenegro. Gewerbliche Partner können Einträge, Website-Erstellung und Print-Guide-Platzierungen gemäß unseren aktuellen Leistungspaketen und Preislisten buchen. Alle Angebote auf dieser Website richten sich ausschließlich an Unternehmer und Gewerbetreibende (B2B), nicht an Verbraucher.
Ein Vertrag kommt zustande, wenn ein Partner ein Leistungsangebot annimmt (z.B. per Auftragsformular oder E-Mail). Der Partner ist für die Richtigkeit, Rechtmäßigkeit und urheberrechtliche Unbedenklichkeit aller uns zur Verfügung gestellten Materialien (Texte, Bilder, Logos) allein verantwortlich. Der Partner räumt dem Anbieter ein einfaches Nutzungsrecht ein, diese Materialien auf der Plattform und in zugehörigen Printmedien zu verwenden.
Rechnungen sind innerhalb von 14 Tagen ohne Abzug zahlbar, sofern nicht anders vereinbart. Bei Zahlungsverzug fallen die gesetzlichen Verzugszinsen nach kroatischem Handelsrecht an. Alle Preise verstehen sich als Nettopreise zuzüglich der gesetzlichen Mehrwertsteuer (sofern der Anbieter umsatzsteuerpflichtig ist).
Der Anbieter haftet für Vorsatz und grobe Fahrlässigkeit. Bei leichter Fahrlässigkeit haftet der Anbieter nur bei Verletzung wesentlicher Vertragspflichten (Kardinalpflichten), beschränkt auf den vorhersehbaren, vertragstypischen Schaden. Der Anbieter garantiert keine ununterbrochene Verfügbarkeit der Website.
Es gilt das Recht der Republik Kroatien unter Ausschluss des UN-Kaufrechts (CISG). Ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag ist der Sitz des Anbieters in Kroatien.
